What is a Single-Member LLC (SMLLC)?

A Single-Member LLC, abbreviated SMLLC, is an LLC with just 1 owner. An LLC owner is referred to as a Member, hence the name “single member” LLC. The purpose of forming an LLC is to protect the personal liability of the owners. Forming an LLC separates your personal assets from that of the business. All 50 states allow for Single-Member LLCs and this is the most popular type of LLCs formed in the United States.

LLC Organizer vs Member

LLC terminology can be confusing! What’s an LLC Organizer? Same thing as an LLC Member? Answer is Nope. An LLC Organizer is the person (or company) who takes responsibility for, and files, the LLC formation documents with the state. They are the ones who are “organizing” (filing) the LLC. An LLC Organizer does not have to be a member (owner) of the LLC, but often they are a member. This article helps simplify and explain these two terms.

LLC name with or without comma?

None of the 50 states have rules or restrictions about whether or not you have to use a comma. You can use a comma in your LLC or you can leave it out if you prefer. The more traditional and commonly seen is the comma (ABC Widgets, LLC). And by more commonly seen, I mean with-the-comma LLCs encompass over 80% of registered LLCs in most states.
