How to Cure a Colorado LLC Delinquency

A Colorado LLC becomes “Delinquent” when it fails to file a Periodic Report within 4 months after the Periodic Month. If your LLC is marked “Delinquent”, you won’t be able to do business in Colorado. Your LLC can stay in “Delinquent” status for an unlimited period of time. If you don’t cure your “Delinquent” status in 400 days, your LLC name becomes available to others. To cure your LLC’s “Delinquent” status, submit a Statement Curing Delinquency with the CO Secretary of State. Filing this document can only be done online.

Benefits of Forming an LLC in Colorado

There are two main benefits to forming an LLC in Colorado: personal liability protection and pass-through taxation. We’ll discuss the most important one first. Personal liability protection is a benefit found both in Corporations and LLCs. It builds a “wall of protection” between your personal assets and the assets of the business. If your business gets sued, your personal assets cannot be used to pay off any debts or liabilities.
