LLC Annual ReportEvery Hawaii LLC that does business in Hawaii must file an Annual Report every year. Your LLC’s Annual Report will be filed with the Hawaii Business Registration Division.

An LLC Annual Report must be filed in order to keep your LLC in compliance and in good standing with the State of Hawaii.

You can file your LLC’s Annual Report by mail or online.

However, the state prefers online filings and we recommend them as well because it’s a lot faster and much easier.

Hawaii LLC Annual Fee

Hawaii LLC Annual Reports are $15 per year.

Due Date

The due date of your Annual Report is based on your LLC’s approval quarter.

LLCs approved in Q1, between January 1st and March 31st:

Due by March 31st every year

LLCs approved in Q2, between April 1st and June 30th:

Due by June 30th every year

LLCs approved in Q3, between July 1st and September 30th:

Due by September 30th every year

LLCs approved in Q4, between October 1st and December 31st:

Due by December 31st every year

If you don’t know when your LLC was approved, you can search your LLC name on the Business Entity and Documents page and then look for the “Registration Date”.

If you’re having issues finding your approval date, you can call the State of Hawaii at 808-586-2727 for assistance. Their hours are 7:45am – 4:30pm.

How early can you file an LLC Annual Report?

The earliest you can file is at the beginning of your LLC’s approval quarter.

Penalty

The State of Hawaii has the authority to charge a $100 late fee (as per state law), but they charge a $10 late fee for the first year. Then they’ll charge a $20 late fee if it’s 2 years late. Meaning, they are more laid back about charging the maximum amount. However, they could change this at any time.

If the Annual Report has still not been filed after 2 years, the state may administratively dissolve (shut down) your Hawaii LLC.

Annual Report Reminders

The State of Hawaii will send reminder postcards in the mail. They are sent out at the beginning of your LLC’s approval quarter and they’ll look like this:

Hawaii LLC Annual Report Online Instructions

The instructions below are for the online filing only. If you prefer to file by mail, you can download the form here: State of Hawaii: Domestic LLC Annual Report (Form C5). Prepare a check or money order for $15 and make it payable to “Department of Commerce and Consumer Affairs“.

Step 1: Find your business

Search your Hawaii LLC by its name or File Number. Find your LLC name in the list and click on it.

Then click the “Begin Annual Report” button.

Step 2: Verify your company information

Review your LLC’s info.

Click “edit” if you need to change or update any sections. If not, you can leave things as-is.

Once finished, check off the box under the “Certification” section and enter your name in the “Signature” box.

Then click “Next“.

Step 3: Choose a processing speed

Select “Normal” (6-8 weeks processing time) or “Expedited” (1-3 business days processing).

Expedited costs $25 extra.

If you’re filing your LLC’s Annual Report far before the due date, you can most likely select “Normal“.

However, if you’re getting close to the due date and you don’t want to be late, you may need to select “Expedited” and pay the extra $25 fee to get your Annual Report filed on time.

Step 4: Choose a submission method

Make sure you’re on the “Pay and Submit Online” Tab. Then click “Add to Cart & Checkout“.

Login

You can login if you have an account or select “Continue as a guest” to checkout.

Finalize your payment

  • Select “credit/debit card
  • On the next page, enter your contact information
  • On the next page, enter your credit/debit card and billing information
  • Then click “Continue” to submit your Annual Report to the state

Congratulations! Your Hawaii LLC Annual Report has been submitted to the state.

Now you just need to wait for your Annual Report to be processed.

Normal processing can take 6 to 8 weeks. Expedited takes 1-3 business days.

After your Hawaii LLC Annual Report is processed, the state will email you a receipt and a PDF copy of your processed and approved LLC Annual Report.

Optional: You can also verify that your Hawaii LLC Annual Report was filed by searching online:

  1. Search your LLC on the Business and Entity Documents page.
  2. Click your LLC name.
  3. Click the “Annual Filing” tab.
  4. Look at the “Status” column for the word “Processed” in green.

Remember: Put a repeating calendar reminder on your phone or computer and make sure to file your Hawaii LLC’s Annual Report every year.
