Starting a Hawaii LLC
A Hawaii Limited Liability Company (LLC) is a legal structure used to protect your personal assets (home, car, bank account) in the event your business is sued.
An LLC can be used to operate a business, or an LLC can be used to hold assets (such as real estate, vehicles, boats, or aircraft).
Forming an LLC in Hawaii is simple:
- Search your Hawaii LLC name in the state database
- Select your LLC’s Hawaii Registered Agent
- Submit your Hawaii Articles of Organization (by mail or online) and pay the state filing fee of $51 ($50 filing fee + $1 archive fee)
Check out LLC Cost in Hawaii to learn more about fees.
The Hawaii Business Registration Department will approve your LLC in 7-10 business days (plus mail time) if you file by mail. If you file online, LLC approval time will be 7-10 business days (and you don’t have to wait for transit time via mail).
Note: Filing times may take longer due to the current global situation and government delays. Please see how long does it take to get an LLC in Hawaii.
After your Hawaii LLC is approved:
- Complete your Hawaii LLC Operating Agreement
- Get a Federal Tax ID Number (aka EIN) for your Hawaii LLC from the IRS
- Check what kind of Hawaii Business License your LLC needs to operate
And every year for the life of your LLC:
- File a Hawaii LLC Annual Report ($15) every year to keep your LLC in compliance
- Comply with any Hawaii LLC Taxes and file federal taxes as applicable

I already have Federal EIN with my own name. Do I need to apply a new one for my single member LLC with IRS or using the same number?
Thanks.
Hi Kathy, yes, you will need a new EIN for your LLC. Wait for your LLC to be approved first, then apply for the new EIN. For more information, please see here: new EIN when changing from Sole Proprietorship to LLC. Hope that helps.
Hello,
I am non-US resident, I want to open LLC for Ecommerce purpose, could you please guide me if I am hiring Northwest registered agent for my company then how can I access to my debit card which will be couriered by the bank to Northwest(my LLC address)
Hi Muhammad, you will need to contact Northwest and ask ahead of time if they can receive and then forward your debit card. After your LLC is approved, how you get an EIN Number and open a bank account will be different. Here are the EIN instructions: get LLC EIN without SSN. Here is banking information: non-US resident LLC bank account. And if your LLC has 1 owner (Single-Member LLC), you need to file IRS Form 5472 each year. Here is information on that: Form 5472 for foreign-owned Single-Member LLC. Hope that helps!
