Annual Requirements for Nevada LLCs

LLC Annual ReportAfter you start a Nevada LLC, you must file an Annual List and renew your State Business License every year.

This enables your LLC to maintain its good standing status and keep doing business in the state of Nevada.

The Annual List & State Business License renewal are contained in the same filing.

The full name of the Annual List is actually the “Annual List of Managers or Managing Members”.

Nevada LLC annual fees:

1. Annual List of Managers or Managing Members = $150 per year.

2. Nevada State Business License Renewal = $200 per year.

Filed with:

Your Nevada LLC’s Annual List & State Business License renewal are filed with the Nevada Secretary of State.

Due date:

Your Nevada LLC Annual List & State Business License renewal are due on or before the last day of your LLC’s anniversary month. The anniversary month is the month your Nevada LLC was approved.

You can find this date in the upper-right corner of your stamped and approved Articles of Organization. It’s usually called the “Filing Date and Time”. You can also use the Nevada Business Search tool, search for your LLC, and look for the “File Date”.

For example, if your Nevada LLC was approved on April 9th 2024, your first Annual List & State Business License renewal will be due by April 30th 2025. Then every year going forward it will be due by April 30th.

Early filing:

You can file your Nevada LLC Annual List & State Business License renewal as early as 90 days before the due date.

Penalty:

If you don’t file your Nevada LLC Annual List & State Business License renewal on time, the Secretary of State will charge you a $175 late fee and your LLC will go into “Default” status.

If you continue to ignore this requirement, your LLC’s status will become “Revoked”.

You can Reinstate (bring back into good standing) your Nevada LLC, however, you will need to pay all outstanding annual fees + penalties for every year you failed to file. After 5 years of an LLC being in “Revoked” status, the LLC then becomes “Permanently Revoked”.

Filing methods & processing times:

You can file a Nevada LLC Annual List & State Business License renewal by mail or online.

Filing by mail takes 3-5 business days while the online filing is processed and approved instantly (right after payment is made).

Online filing instructions only:

The instructions below are for the online filing method. If you prefer to file by mail, please download the paper Annual List & State Business License renewal form and mail it to the state with a check or money order for $350 (payable to “Secretary of State”). The mailing address is:

Nevada LLC Annual Reminders:

The Nevada Secretary of State will mail a courtesy reminder to your LLC’s Registered Agent address. This reminder is sent out approximately 3 months before the Annual List & State Business License renewal are due.

If you have a SilverFlume account setup, you will also get email reminders 1, 2, and 3 months before the due date.

However, even if you don’t receive the courtesy reminders from the Secretary of State, it is still your responsibility to file your Nevada LLC Annual List & State Business License renewal on time.

Nevada LLC Annual Filings (Online)

If you haven’t done so already, you’ll need to create an online account with the Nevada Secretary of State. This account is called SilverFlume.

If you already have a SilverFlume account, login, then click on the “Home” page.

Get Started:

  • In the left navigation menu, click “Renew Your Business
  • Then click “File Annual List and/or State Business License
  • Search for your Nevada LLC by name, entity number, or Nevada business ID
  • Select your LLC from the list and click “Next
  • Click the “File Annual List & State Business License” button to begin

Step 1: Manager/Managing Member

Review your LLC’s Manager(s) or Managing Member(s).

You can edit, delete, or add a Manager or Managing Member. Or if no changes are needed, simply click “Next” to proceed.

Step 2: Signature of Officer

  • Check off the box and agree to the terms
  • Enter your title (“Manager” or “Managing Member”)
  • Enter your first name and last name
  • Click “Next” to proceed

If your LLC is Member-managed, use the title “Managing Member”.

If your LLC is Manager-managed, use the title “Manager”.

Step 3: Review

Review the information entered for accuracy and then click “Next” to proceed.

Checkout

You’ll be taken back to your SilverFlume dashboard and you’ll see the following message at the top:

Your List of Officers have been added to your cart. You may check out now, or continue with the next step in your Checklist.

Click the “Checkout Now” button.

You should see the name of your LLC and a total of $350 in your Cart. The Annual List is $150 and the Business License renewal is $200.

Click “Proceed to Checkout“. Then select “Credit Card” in the middle of the page (it’s a little hard to see).

Enter your credit or debit card info, click “Review Order“, and then finalize your payment to the Nevada Secretary of State.

Congratulations! Your Nevada LLC Annual List & Business License renewal have been filed with the Secretary of State and your filing was instantly processed and approved.

Nevada LLC Annual List & Business License Verification

Although your Nevada LLC Annual List & Business License renewal was processed instantly, it may take a few minutes before you can download a copy of your filed documents.

If you were not redirected to the downloads page, click the “DOCUMENTS” tab at the top of SilverFlume.

You should see the following approval documents:

  • Annual List of Managers or Managing Members
  • State Business License

Tip: Your Nevada LLC Annual List & State Business License are only available for free download for 60 days. After 60 days, you’ll need to pay for copies. For this reason, we recommend saving a few copies, both digitally and physically.
