Can I change the name of my LLC in Oklahoma?

Absolutely! You can easily change your Oklahoma LLC name.

The first step is to file a form called the Articles of Amendment with the Secretary of State and wait for it to be approved. This is how you officially change your LLC name in Oklahoma.

The filing fee for the Articles of Amendment in Oklahoma is $50.

After the state approves your LLC name change, you should then notify the following 3 places:

  • the IRS
  • state tax department
  • your business bank account

And finally, you can update your Oklahoma company name in other places like your website and marketing materials.

It costs $50 to change your LLC name in Oklahoma. This is the filing fee for the Articles of Amendment form.

The fee is the same whether you file the form online or by mail.

How do I change my Oklahoma LLC name?

In order to change your LLC name, you must file a Articles of Amendment with the Oklahoma Secretary of State. This officially updates your legal entity (your Limited Liability Company) on the state records.

Note: The Oklahoma Secretary of State is responsible for LLC formation and administration, including name changes.

You can file the Articles of Amendment yourself or you can hire a company to do this for you.

Step 1: Make sure your new Oklahoma LLC name is available

Before filing your Oklahoma amendment form (the Articles of Amendment aka Amended Articles of Organization), you should check that your new LLC name is available in Oklahoma.

This is important because two businesses in the state can’t have the same name, or be too similar. This is called LLC name distinguishability.

If you file an amendment for a name that’s already taken, the state will reject your filing. And if that happens, you’ll need to re-file with a different name.

To avoid that, look up your desired Oklahoma LLC name ahead of time using the state’s business entity search.

Step 2: File the Oklahoma LLC name change form

The Oklahoma LLC name change form is called the Articles of Amendment. It’s also referred to as the Amended Articles of Organization. Oklahoma uses the two names interchangeably.

(It’s called this because you’re amending your Texas Certificate of Formation.)

How to file the Articles of Amendment in Oklahoma

Get Started

Before you begin:
You’ll need your LLC’s Filing Number in order to use the online filing service. You can find it using the Oklahoma Corporation Entities Search:

  1. Enter the first word or two of your LLC’s name in the Entity Name field and click Search.
  2. Find your LLC in the search results.
  3. Make a note of the Filing Number (this should be a 10-digit number that begins with 35…)

Go to the Business Entity Change Filing page.

You don’t need to login or create an account to use the online filings system in Oklahoma.

Enter your name and email address.

Don’t worry: this information doesn’t go on public record, and is only used to contact you about the filing.

Business Entity Change Filing

Enter your LLC’s Filing Number and click the button to search.

Select the filing type Articles of Amendment.

Special Instructions

There’s nothing to do on this page. Simply confirm your LLC’s current name is correct as shown, and click Next to continue.

Name Availability

Delete your LLC’s current name from the Name field. Enter the new desired business name.

Make sure to include an allowable designator (ending). In Oklahoma, you can use the following designators:

  • LC
  • L.C.
  • LLC (most common)
  • L.L.C.
  • Ltd. Co.
  • Limited Co.
  • Ltd. Company
  • Limited Company
  • Limited Liability Co.
  • Ltd. Liability Company
  • Limited Liability Company

Click the button to search your new LLC name.

Review the search results to make sure your new LLC name is distinguishable. (If there are 0 results, your name is definitely unique and can be used).

If your new LLC name is different enough from the existing companies, it should be available for use in Oklahoma.

Click Next to continue.

Effective Date

Most people choose Filing Date. This means your LLC name change will go into effect when it’s approved by the Secretary of State.

Alternatively, you can choose a specific date in the future for your name change to become effective. In that case, click Specify Date and select a date up to 90 days in the future.

Click Next to continue.

Address

If you’re only changing the LLC’s name, you can skip this step and click Next to continue.

Or, if you need to update the LLC’s street address, you can do that here.

Agent

If you’re only changing the LLC’s name, you can skip this step and click Next to continue.

Or, if you need to update your Oklahoma Registered Agent, you can do that here. (Remember, your Registered Agent must have a physical address in Oklahoma.)

Duration

Skip this step and click Next to continue.

It’s very uncommon to change the LLC’s duration. Most LLCs have a perpetual duration, meaning they stay open forever until the business owner chooses to shut down the LLC.

Notepad

You can skip this step, and leave the box blank. Click Next to continue.

If your business attorney told you to provide additional amendment text, you would enter that here. But most people don’t need to add anything in this section.

Attachments

You can skip this step, and leave the box blank. Click Next to continue.

A name change filing in Oklahoma doesn’t require any attachments to be uploaded.

If your business attorney prepared an amendment form and gave it to you to upload, you would do that here. But most people don’t upload anything for a regular LLC name change filing.

Signature

Click Add Signature.

Click the button for Acknowledgment by an Individual.

Type your name in the Signature field to electronically sign the filing.

Then enter your Title:

  • If you’re an LLC Member (Owner), enter Managing Member
  • If you’re an LLC Manager and the LLC is Manager-managed, enter Manager

Click Insert Signature to proceed.

Only one signature is required for an Amended Articles of Organization filing. Click Next to continue.

Review Filing

Check the information you’ve entered. If you need to make any changes, click Previous to go back to the correct section.

Once everything looks good, click Continue to proceed with the filing.

Shopping Cart

Click Begin Checkout to continue the filing.

The system will now give you the option to sign in to an account, create an account, or continue as guest.

If you already have an Oklahoma Secretary of State account, login. Otherwise, click Continue as Guest to pay for the Amended Articles of Organization filing.

If you logged into your account, you can simply enter or confirm your existing billing information and submit the filing.

Continue as Guest

Enter the LLC’s current name (not what you’re changing it to) in the Business Name field.

Enter your contact information. Don’t worry, this won’t go on public record. The Secretary of State uses this to contact you about the filing and to send your approved Amended Articles of Organization documents.

Click Submit.

Checkout

Confirm your email address by entering it again.

Click the button to pay by Credit Card.

Continue and enter your payment information. Then submit your filing and payment to the state.

Wait for approval from the Secretary of State

After submitting your Amended Articles of Organization to the state, please wait for approval.

Approval times vary, but on average, it takes 2-3 business days for your Oklahoma business name change to be approved.

When you file online, you’ll receive your name change approval by email.

Reminder: Changing your LLC name with the Secretary of State still leaves your old LLC name in place everywhere else. Essentially, you’ve only changed your LLC name with one part of the state government, and you need to update it everywhere else.

Step 3: Change your Oklahoma LLC name with the IRS

After your new LLC name is approved, the next step is to update your Oklahoma LLC name with the Internal Revenue Service (IRS). This updates the name connected to your LLC’s EIN number.

Step 4: Update your LLC’s Account with the OK Tax Commission

After your new LLC name is approved, you need to update your business’s account with the state’s tax department (the Oklahoma Tax Commission).

Note: In most states, it’s called the Department of Revenue or Department of Taxation. However, in Oklahoma it’s called the Tax Commission, and this is who you’ll update with your new LLC name.

Typically, you can update your LLC name in one of three ways:

  • online
  • by mail
  • by phone

But it differs from state to state, so we recommend you call the OK Tax Commission. You can ask about the process to update your business name.

Step 5: Update financial institutions with your new LLC name

Besides updating your Oklahoma LLC name with the IRS and Oklahoma Tax Commission business tax department, you’ll also want to contact the following places and let them know about the name change.

Pro Tip: You don’t have to rush to update these the same day or even the same week. Your existing checks and credit cards will still work, but it’s important to eventually get everything updated to your new LLC name.

Step 6: Update or Get a New Business License

If you have a state business license or a local business permit, you’ll need to change the name on that license.

Sometimes that means applying for a new license and canceling the old one. Or sometimes you can just change the name on your existing license.

Oklahoma doesn’t have a general state business license requirement. But your LLC might have an industry- or occupation-specific license.

If that’s the case, contact your state licensing agency or licensing board for information on how to update the state business license: Oklahoma Commerce Business Licensing.

And contact your local government (like a city clerk or county clerk) for the process to update any local business permits. You can find your county clerk on the OKCounties website, and you’ll need to look up your town or city, too.

Step 7: Update marketing materials and other places with your new LLC name

Below are some examples of places to update with your new LLC name.

Branding and online presence:

  • online stores (like eBay, Shopify, Amazon)
  • website, domain registrar, hosting company
  • letterhead, logos, invoices, contracts, and important documents
  • social media accounts

Professional services:

Other government agencies:

  • local tax office (ex: city, county, township)
  • business licenses and permits
  • sales tax permit
  • utility companies
  • Department of Labor (if you have employees)

Stay calm: Don’t stress out thinking you have to change your LLC name everywhere right away. That’s not the case. Take your time and do the important ones first. Give yourself a few days or a few weeks to get them all done. Technically, your old business name will still work for quite some time.

Update your Oklahoma LLC Operating Agreement

It’s a good idea to update the name on your LLC’s Operating Agreement. Don’t worry, this is a simple process. You can either:

  • You can make a new version of the Operating Agreement you already have. Update the document with your new LLC name, and have the LLC Member(s) sign.

Tip: This is a good opportunity to review the other sections in your Operating Agreement and make any needed updates there, too. Have the LLC Member(s) sign, and distribute copies like you did with your initial LLC Operating Agreement.

Generally speaking, the LLC Members (owners) can change the LLC’s name.

So, as long as all the LLC Members agree, you can go ahead and file the Amendment.

Technically, the LLC Members should vote to agree on the new name. However, a vote can be something informal, like an email or phone call.

Do I need a new EIN if I change the name of my Oklahoma LLC?

No, you don’t need a new EIN number.

Getting a new EIN Number will actually cause confusion at the IRS, and that can create issues for your business.

So don’t get a new EIN number for your LLC.

Instead, you will simply change your Oklahoma LLC name with the IRS (see above for instructions).
