Can I change the name of my LLC in Nebraska?

Absolutely! You can easily change your Nebraska LLC name.

The first step is to file a form called the Amended Certificate of Organization with the Secretary of State and wait for it to be approved. This is how you officially change your LLC name in Nebraska.

The online filing fee for the Amended Certificate of Organization in Nebraska is $17.

After the state approves your LLC name change, you should then notify the following 3 places:

How do I change my Nebraska LLC name?

In order to change your LLC name, you must file an Amended Certificate of Organization with the Nebraska Secretary of State. This officially updates your legal entity (your Limited Liability Company) on the state records.

Note: The Nebraska Secretary of State is responsible for LLC formation and administration, including name changes.

The Amended Certificate of Organization is a PDF download. After you complete the form, you can file it online or by mail.

The mail filing is easier, and costs $15, but takes longer to be processed. The online filing is more complicated, and costs $17, but your LLC name change will be approved more quickly.

And after the Secretary of State approves your name change, you must publish a notice about the Amended Certificate of Organization in the newspaper.

Can I change my LLC name myself?

You can file the Amended Certificate of Organization yourself or you can hire a company to do this for you.

Nebraska allows a business owner to file documents for their own company.

Step 1: Make sure your new Nebraska LLC name is available

Before filing your Nebraska amendment form (the Amended Certificate of Organization), you should check that your new LLC name is available in Nebraska.

This is important because two businesses in the state can’t have the same name, or be too similar. This is called LLC name distinguishability.

If you file an amendment for a name that’s already taken, the state will reject your filing. And if that happens, you’ll need to re-file with a different name.

Step 2: File the Nebraska LLC name change form

The Nebraska LLC name change form is called the Amended Certificate of Organization.

(It’s called this because you’re amending your Nebraska Certificate of Organization.)

You can fill the form out on your computer or you can print it and fill it out by hand. If you fill the form out by hand, use a blank pen.

Name of Limited Liability Company

Enter the existing business name (your Nebraska LLC’s current name, not what you’re changing it to).

Date Certification of Organization was filed

Enter the date you filed your original Certificate of Organization with the Nebraska Secretary of State. You can find this date in your approved Certificate of Organization, or you can search your LLC name here and look for “Date Filed”.

Check off box(es) and make changes

Check off the box(es) to the left of the item(s) you are changing, and then fill in your updated information.

If you are not making changes to a certain section, do not check off the box and leave the lines blank.

Important: If you are changing your LLC name, there are additional steps besides this form. Please see below.

This does not apply to most filers, but if you’re making changes to a section of your Certificate of Organization that is not listed here, check off the last box, and write out the items being changed. If you need more room, include an additional sheet of paper and explain the changes.

Effective date

Leave this line blank if you want the changes to your LLC’s name to be effective upon filing. This means the name change will take effect once the Amended Certificate of Organization is received and processed by the Nebraska Secretary of State.

If you want the changes to take effect at some later date, then enter that date here. It can’t be more than 90 days out.

Enter your first and last name and today’s date on the line to the right. After you’ve printed the form, enter your signature on the line to the left.

Whether you filled the form out by hand, or filled it out on your computer, you’ll need to print the form out and sign it. After you sign it, you’ll need to scan the form and save it to your computer in PDF format.

Important: The state does not accept any other formats besides PDF, so if your scanner saves in a different format, please convert it to PDF.

Select Filing Type
Under “Select Filing Type”, select “filing for an existing entity/trade name”. A box will then appear below. Enter your LLC’s Business Services Account Number. If you don’t know what it is, you can search for it using the state’s business name search tool.

You can leave the “Client Memo” line blank and then click “Continue” to proceed.

Select “Amended Certificate of Organization”
In the middle of the page, select “Amended Certificate of Organization”, and then click “Continue“.

Select all that apply
If you’re changing your LLC name, check off the 1st box and enter the new LLC name. Search your LLC name here first to make sure it’s available.

Important: If you are changing your LLC name, there are additional steps besides this form. Please see below.

If your LLC is now rendering professional services (services licensed by the state), select the 2nd box, then select the appropriate secondary box, and upload the required documentation.

If you’re changing your LLC’s Designated Office Address, check off the 3rd box and enter your new address.

If you’re amending a section of the Certificate of Organization not listed here, check off the 4th box.

If you’re changing/updating your Registered Agent and/or Registered Agent Address, check off the 5th box. On the next step, you’ll be redirected to a new page where you’ll add/change the Registered Agent’s name and/or address.

Effective Date
Select “Effective When Filed” if you want the changes to be effective upon filing. If you want the changes to take effect at some later date, then enter that date here. It can’t be more than 90 days out.

Submit Document
Click the “Choose File” button, locate the scanned PDF of your Amended Certificate of Organization and upload it. Then click the “Continue” button at the bottom.

Registered Agent Information
If you’re changing your Registered Agent, you’ll be redirected to a new page. If you did not change your Registered Agent name and/or address, you will not see the this information.

If your Registered Agent is an individual person (you, a friend, or a family member), select “Individual“, enter their first and last name, then click “Search“. Look for the button at the bottom called “Create New Registered Agent Record” and click that. Then enter the person’s address and click “Save Changes“.

If your Registered Agent is a Commercial Registered Agent (or another company), select “Entity“, enter their entity name, and then click “Search“. Once their company name appears below, click “Select Agent“.

Confirm Filing Information
Review the information you entered for accuracy and check for any typos. If you need to make any changes, click the blue “Edit” buttons.

Required to submit & Email Address
Scroll down to the bottom of the page, check off the box agreeing to the terms, enter your email address, and click “Submit“. You can ignore the “Note to SOS Filing Officer (optional)” section and just leave it blank.

Billing Information
Enter your name (as it appears on your credit/debit card) and the billing address associated with your card. Then enter your email address twice. Then enter your credit card information, and click the “Verify Information” button.

Congratulations, your Nebraska LLC Amended Certificate of Organization has been filed online for processing!

Wait for approval from the Secretary of State

After submitting your Amended Certificate of Organization to the state, please wait for approval.

Filing by mail:
When filing by mail, the state will process your Amended Certificate of Organization in 2-3 business days (plus mail time). Once it’s been processed and approved, the state will mail you back a receipt and a stamped and approved copy of your Amended Certificate of Organization..

Filing online:
If you file online, your Amended Certificate of Organization will be processed in 2-3 business days. Once it’s processed, you’ll receive an email with your stamped and approved Amended Certificate of Organization, along with a receipt.

Reminder: Changing your LLC name with the Secretary of State still leaves your old LLC name in place everywhere else. Essentially, you’ve only changed your LLC name with one part of the state government, and you need to update it everywhere else.

Newspaper Publication Requirement

After your Amended Certificate of Organization is approved by the Secretary of State, you must publish a notice of the new LLC name.

Section 21-193 of the Nebraska Revised Statutes requires that:

  • Your LLC must publish an ad in a legal newspaper
  • The newspaper ad must run for 3 weeks
  • The newspaper needs to have general circulation
  • The newspaper needs to be located near your LLC’s Designated Office
  • After the 3 weeks, the newspaper will send you Proof of Publication
  • You then must file that with the Secretary of State

Step 3: Change your Nebraska LLC name with the IRS

After your new LLC name is approved, the next step is to update your Nebraska LLC name with the Internal Revenue Service (IRS). This updates the name connected to your LLC’s EIN number.

Step 4: Update your LLC’s Account with the Department of Revenue

After your new LLC name is approved, you need to update your business’s account with the state’s tax department (the Nebraska Department of Revenue).

Note: In most states, it’s called the Department of Revenue or Department of Taxation. In Nebraska it’s called the Department of Revenue, and this is who you’ll update with your new LLC name.

Typically, you can update your LLC name in one of three ways:

  • online
  • by mail
  • by phone

But it differs from state to state, so we recommend you call the Department of Revenue. You can ask about the process to update your business name.

Step 5: Update financial institutions with your new LLC name

Besides updating your Nebraska LLC name with the IRS and Nebraska Department of Revenue business tax department, you’ll also want to contact the following places and let them know about the name change.

Your existing checks and credit cards will still work, but it’s important to eventually get everything updated to your new LLC name. We recommend starting with the business bank accounts, as they’re the most important.

Step 6: Update or Get a New Business License

If you have a state business license or a local business permit, you’ll need to change the name on that license.

Sometimes that means applying for a new license and canceling the old one. Or sometimes you can just change the name on your existing license.

Nebraska doesn’t have a general state business license requirement. But your LLC might have an industry- or occupation-specific license.

If that’s the case, contact your state licensing agency or licensing board for information on how to update the state business license:

Step 7: Update marketing materials and other places with your new LLC name

Branding and online presence:

  • online stores (like eBay, Shopify, Amazon)
  • website, domain registrar, hosting company
  • letterhead, logos, invoices, contracts, and important documents
  • social media accounts

Professional services:

Other government agencies:

  • local tax office (ex: city, county, township)
  • business licenses and permits
  • sales tax permit
  • utility companies
  • Department of Labor (if you have employees)

Stay calm: Don’t stress out thinking you have to change your LLC name everywhere right away. That’s not the case. Take your time and do the important ones first. Give yourself a few days or a few weeks to get them all done. Technically, your old business name will still work for quite some time.

It’s a good idea to update the name on your LLC’s Operating Agreement. Don’t worry, this is a simple process. You can either:

  • You can make a new version of the Operating Agreement you already have. Update the document with your new LLC name, and have the LLC Member(s) sign.

  1. So I am trying to leave an LLC and get a buy out from my business partner. What I am trying to figure out is do I need to be the one to adminds it to get my name of the llc or does my business partner need to be the one to sign it. I am not the most technical so even an example sent of how the form would be filled out using John Doe would be great thank you!

    • Hi Mark, in a situation like this, we recommend working with an attorney. For example, you can sell you LLC membership interest to your partner. Then they would amend the LLC Operating Agreement. If you are listed in the Certificate of Organization, then you can file an Amended Certificate of Organization for the LLC. You’ll also want to remove your name from the bank account. And make sure you get a K-1 for taxes. And it’s a good idea to update your accountant too. Hope that helps.
