You have two options for filing your Amended Certificate of Organization:
File by mail:
The fee is $15. The state will process your Amended Certificate of Organization within 3-4 business days.
File online:
The fee is $17. The state will process your Amended Certificate of Organization within 1-2 business days.
Approval:
After it’s been processed, the state will mail back a stamped and approved copy of your Amended Certificate of Organization, along with a receipt. If you file online, they’ll send these documents by email.
Recommendation:
We recommend filing online if you’re comfortable with scanning PDF documents. If you’re not very “tech comfortable”, then we recommend filing by mail. The mail filing is easier, and costs $15, but takes 3-4 business days to be processed. The online filing is more complicated, and costs $17, but takes 1-2 business days to be processed.
How This Works:
File by mail: fill out the form, place it in an envelope, include a check or money order, then mail it to the state.
File online: fill out the form, print it out, sign it, scan to PDF, upload to state’s website, re-enter information online, pay with a credit or debit card.
Whether you file by mail or file online, the submission process is similar. You’re going to fill out the paper form of the Amended Certificate of Organization. Then you’ll either place it in an envelope and mail it to the state, or you’ll scan it and upload it in their online portal.
So let’s first show you how to complete the Amended Certificate of Organization…

Name of Limited Liability Company:
Enter the current and complete name of your Nebraska LLC here.
Date Certification of Organization was filed:
Enter the date you filed your original Certificate of Organization with the Nebraska Secretary of State. You can find this date in your approved Certificate of Organization, or you can search your LLC name here and look for “Date Filed”.
Check off box(es) and make changes:
Check off the box(es) to the left of the item(s) you are changing, and then fill in your updated information.
If you are not making changes to a certain section, do not check off the box and leave the lines blank.
Important: If you are changing your LLC name, there are additional steps besides this form. Please see below.
This does not apply to most filers, but if you’re making changes to a section of your Certificate of Organization that is not listed here, check off the last box, and write out the items being changed. If you need more room, include an additional sheet of paper and explain the changes.
Effective date:
Leave this line blank if you want the changes to your LLC’s name to be effective upon filing. This means the name change will take effect once the Amended Certificate of Organization is received and processed by the Nebraska Secretary of State.
If you want the changes to take effect at some later date, then enter that date here. It can’t be more than 90 days out.
Signature of Authorized Person and Date:
Enter your first and last name and today’s date on the line to the right. After you’ve printed the form, enter your signature on the line to the left.

We’ll show you how to file both ways.

If You’re Changing Your LLC Name
Note: The following only applies to you if you changed your LLC Name in the Amended Certificate of Organization. If not, you can ignore this section.
When changing your LLC name, you not only need to file the changes with the Nebraska Secretary of State, but you also need to update every other place your LLC is registered or on file.
Your old LLC name is still on file everywhere else, and you need to update all of these places as well.
Nebraska Department of Revenue
You need to update the Department of Revenue and let them know the name of the LLC has changed.
You can do this via Form 22, called the “Nebraska Change Request“.
The IRS
You’ll need to mail a letter to the IRS notifying them of your Nebraska LLC name change.
We have instructions here: Changing your LLC name with the IRS.
Update your LLC name with these places, too:
Helpful tip: We recommend making a spreadsheet to keep track of everything. Enter the place you are changing your LLC name, their phone number, and a ‘notes’ section. After you successfully change your name, highlight the cell green. Highlight everything that still needs to be changed in orange. This will help keep your sanity.
There may be more places depending on your business, but here are some common places to notify about your LLC name change:
- bank account (you need a new debit card and new checks)
- paypal
- commercial registered agent (if applicable)
- credit card(s)
- tax offices: city/county/township/etc.
- business licenses and/or permits: city/county/township/etc.
- website, domain registrar, hosting company, etc.
- important online account registrations
- utility companies
- letterhead, invoices, contracts, and important documents
- your attorney
- any anywhere else we forgot to mention that you are doing business with
We also recommend contacting your accountant or tax professional as there may be other tax offices to change your Nebraska LLC name with.
Don’t stress out thinking you have to change your Nebraska LLC name everywhere right away. Take your time and do the important ones first. Give yourself a few days or a few weeks to get them all done. Technically, your old Nebraska LLC name will still “work” for quite some time.

NEBRASKA LLC GUIDE
Follow the lessons below to form your Nebraska LLC.
So I am trying to leave an LLC and get a buy out from my business partner. What I am trying to figure out is do I need to be the one to adminds it to get my name of the llc or does my business partner need to be the one to sign it. I am not the most technical so even an example sent of how the form would be filled out using John Doe would be great thank you!
Hi Mark, in a situation like this, we recommend working with an attorney. For example, you can sell you LLC membership interest to your partner. Then they would amend the LLC Operating Agreement. If you are listed in the Certificate of Organization, then you can file an Amended Certificate of Organization for the LLC. You’ll also want to remove your name from the bank account. And make sure you get a K-1 for taxes. And it’s a good idea to update your accountant too. Hope that helps.
