Every Indiana LLC that does business in Indiana must file a Business Entity Report every 2 years.

You need to file a Business Entity Report to keep your LLC in compliance and in good standing with the state.

You can file your LLC’s Business Entity Report by mail or online. We recommend filing online since it’s cheaper and the approval is much faster.

You will find instructions below for filing by mail and filing online.

Due Date
LLC Annual ReportYour Indiana LLC Business Entity Report is due every 2 years, before the last day of your LLC’s anniversary month. Your LLC’s anniversary month is the month it was approved by the state.

If you don’t know the month your LLC was approved, you can search your LLC in the InBiz: Business Search and look under “Creation Date”, or call the Secretary of State at 317-232-6576 (8:00am – 4:30pm, M-F).

The Indiana LLC Business Entity Report is not filed right after your LLC goes into existence. The first one is due 2 years after the LLC is formed.

How early can you file?
You can file up to 1 month in advance of the due date.

Penalty
There is a small grace period for filing late, but if you continue to ignore this requirement, the state may administratively dissolve your LLC.

Reminders
Depending on how you filed your Articles of Organization, you will either receive a reminder in the mail or by email. It will arrive approximately 30 days before the due date.

Even if you don’t receive a reminder, it’s still your responsibility for filing your Business Entity Report every 2 years. For this reason, we recommend putting a repeating reminder on your calendar.

Instructions for Filing Indiana Business Entity Report by Mail

(Click “Business Entity Reports” drop down, then the PDF will download to your computer.)

Section A
Enter your LLC’s name and principal office address in the first box. If you need to change your LLC’s address, enter those changes in the box to the right.

Note: You cannot change your LLC’s name using this report.

Section B
In the “Current filing year” box, enter the current year. If you are also filing late for prior years, enter those years to the right.

Section C
Enter the date your LLC was formed with the state. If you don’t know when your LLC was approved, you can search your LLC Indiana Secretary of State: Business Search and look under “Creation Date”, or call the Secretary of State at 317-232-6576 (8:00am – 4:30pm, M-F).

In the second box to the right, enter the state where your LLC was formed. This will most likely be “Indiana”.

Section D
Check off “Limited Liability Company”.

Section E
Enter the name and address of your current Registered Agent in the box to the left. If you need to change/update your Registered Agent information, enter those details in the box to the right.

Sections F and G
You can leave these 2 sections blank as they are only required for Corporations (not LLCs).

Section H
If you changed your Registered Agent information, check off the box stating that they agree to be your Registered Agent. If you did not change your Registered Agent, leave this box unchecked.

Then sign your name and enter today’s date.

Payment and Mailing Instructions:
Prepare a check or money order for $50 and make payable to “Secretary of State”.

Mail your $50 fee along with your completed Business Entity Report to:

Congratulations, your Indiana LLC Business Entity Report has been filed for processing!

Processing Time and Verification:
The state will process your Business Entity Report within 2-3 business days after it arrives in the mail. They do not send any confirmation back, but you can search your LLC Indiana Secretary of State: Business Search and then click “Filing History” to view your Business Entity Report(s).

Make sure to file your report again in 2 years. We recommend putting a repeating reminder on your calendar.

Instructions for Filing Indiana Business Entity Report Online

Get Started:

  • Visit INBiz and click the “Sign In” button.
  • If you don’t have an INBiz account yet, please read our Indiana LLC Articles of Organization lesson for instructions. You’ll first create an Access Indiana login and then an INBiz account.
  • In your INBiz dashboard, hover over “ONLINE SERVICES” at the top.
    • Then click “Business Entity Report”.

1. Search your LLC
Enter either your LLC’s business name or business ID and then click “Search”. In the results below, select your LLC and then click “Next”.

2. Email Address
Confirm the current email address is correct. If not, add your new email address twice. It doesn’t have to be a company email address, so you can use a personal email if you’d like.

3. Principal Office Address
Confirm that your LLC’s principal office address is correct (make changes if necessary), then click “Next”.

4. Registered Agent
Confirm that your LLC’s Registered Agent information is correct. If it is, just click “Next” to proceed.

If you need to change/update your Registered Agent, click the “Change Registered Agent Address” box and make the necessary updates. Once saved, click “Next” to proceed.

5. Principal Information
If you’d like to make your members/managers a part of your LLC’s official record (and a part of public records), you can list their names and addresses here. This section is optional though, so if you prefer to leave it blank, you can.

In the Principal Title, select either “Member” or “Manager”. Then enter the person’s name and address and click the “Add Principal” button.

Add more members/managers if needed. Once finished, click “Next” to proceed.

Note: You will officially list the members/managers of your LLC in your Operating Agreement.

6. Review
Review your information for accuracy and check for typos. If you need to make any changes, click the “Edit” buttons. If everything looks good, click “Next” at the bottom.

7. Signature
Check off the box agreeing to the terms and enter your full name in the “Signature” box. In the “Title” drop down, select “Member” (or “Manager” if applicable).

Then click the “Add to Payment Cart” button. On the next page, click the “Checkout” button.

8. Checkout
Enter your billing and contact information and then click “Continue”. Review your information on the next page and then submit your payment.

Congratulations, your Indiana LLC Business Entity Report has been filed for processing! Now you just need to wait for verification.

Processing Time and Verification:
The state will process your Business Entity Report in approximately 1 hour. An email confirmation will be sent back to you after the report has been approved.

  1. I am thinking about starting an LLC to hold real estate and operate as a landlord. My question is if the real estate is in the LLCs name and the LLC gets dissolved by the state, what would happen to the real estate?

    • Hi Tom, nothing happens to the real estate in this situation. However, if you went to sell the property, the title company will likely not clear title unless the LLC is brought back into good standing or reinstated (if the LLC were administratively dissolved). If the LLC was administratively dissolved for long enough (to where it couldn’t be reinstated), then that could cause some serious issues and headaches. Hope that helps.

  2. Is the business ID number on the business entity report used for tax purposes? Or do I need to get a tax identification number separately?

    • Hi Ruth, the Business ID Number on the Business Entity Report is a specific number used by the Secretary of State to identify your LLC.   3. Hello. I have a question. The business entity report does not have to be filed right away, correct? I am filing in Indiana, and when I went to do it, it says that I couldn’t because it is “more than 90 days before the due date.” I’m assuming this means i don’t have to file it for two years. Is this correct?
