Every Kentucky LLC that does business in Kentucky must file an Annual Report every year.
You need to file an Annual Report in order to keep your LLC in compliance and in good standing with the state.
You can file your LLC’s Annual Report by mail or online. We recommend filing online since it’s easier and the processing time is quicker.
You will find instructions below for filing by mail and filing online.
Kentucky LLC Annual Report Fee
$15 for both filing by mail and filing online.
Processing Times
If you file by mail, the processing time can range from 1 day to 1 week (or more) depending on whether or not the Secretary of State is busy. Kentucky does not have official processing times for Annual Reports filed by mail.
If you file online, the processing time is immediate.
What’s the due date for a Kentucky LLC Annual Report?
Your Kentucky LLC Annual Report is due every year between January 1st and June 30th.
Your first Annual Report will be due the year following the year your Kentucky LLC was approved.
Example 1: If your LLC was approved on February 10th, 2024, then your first Annual Report will be due between January 1st and June 30th, 2025.
Example 2: If your LLC was approved on December 10th, 2024, your first Annual Report will be due between January 1st and June 30th, 2025.
Said another way, regardless of what date within a particular year your LLC is approved, the first Annual Report is due the following year.
Penalty
If you don’t file your Annual Report by June 30th, the state will administratively dissolve your LLC. We recommend filing early in the year to avoid any issues.
How early can it be filed?
January 1st.
Reminders
The Secretary of State will mail you a postcard between January and February. The postcard will be sent to the principal office address of your LLC.
Note: You cannot change your LLC’s principal office address or Registered Agent via the Annual Report. You need to file a Statement of Change to update them. There is a separate form to change your principal office address and to change your Registered Agent or Registered Office address.
Annual Report is free ($0) for veterans
The “Boots to Business” program started August 1st, 2018. If your LLC is at least 51% owned by either honorably discharged veterans and/or active duty, you don’t have to pay the $15 LLC Annual Report fee for your LLC’s first 4 years.
If filing your Annual Report by mail, you’ll see a checkbox for “veteran-owned”.
If you want to file your Annual Report online and get the fee waived, you have to already have formed your LLC and designated it as veteran-owned at the time of filing your Articles of Organization. That way, the state’s system already has your LLC listed under the program and it’ll show up $0 online. If you didn’t form your LLC in this manner, then you should file the Annual Report by mail to get the fee waived.
Instructions for Filing Kentucky LLC Annual Report by Mail
There are 2 ways you can file your Kentucky LLC Annual Report by mail.
The first option is to fill out the postcard that the Secretary of State sends you and update your LLC’s member or manager information, then mail it back to the state.
The second option is to go online, print your Annual Report form, and then send it to the state by mail.
If you are filing by mail, make sure to file in advance of the June 30th deadline (to account for mail time).
Filing Postcard by Mail
The state will mail postcards between January and February each year. Here is what one looks like:
Write the names of your members or managers and their addresses on the lines provided. Make any edits as necessary (deleting old or adding new members/managers, etc.).
Enter your signature, title (ex: “Member”), and today’s date on the corresponding lines.
Payment and Mailing Instructions:
Prepare a check or money order for $15 and make payable to “Kentucky State Treasurer”.
Send your filing fee and completed postcard to:

Processing Time and Verification:
When filing by mail, the state does not send back a receipt or any confirmation that your Annual Report has been processed. To avoid any potential issues, we recommend that you go online and save a copy of your filed Annual Report.
To do so, search your LLC name here, click on your LLC name, scroll down to “Show Images“, click “Annual Report“, then download/save a copy to your computer.
Printing your Annual Report Form and Filing by Mail

2. Search your LLC
Enter the full name or ID number of your Kentucky LLC in the search box. Leave out the designator “LLC” or “L.L.C.”. Then click “Search“.
Click the name of your Kentucky LLC in the search results.
3. Download the Form
On the next page, hover your cursor above “Printable Forms” at the top left, then click “Annual Report” to download the form.
4. Members and Managers’ Information
If you need to revise the member/manager information before filing, either strikethrough members who are no longer part of the LLC or add any new members/managers.
5. Signature
Enter your name, title (ex: “Member”) and today’s date on the corresponding lines.

2. Search your LLC
Enter the full name or ID number of your Kentucky LLC in the search box. Leave out the designator “LLC” or “L.L.C.”. Click the name of your Kentucky LLC in the search results.
3. LLC’s Principal Office Address and Registered Agent
A page will then appear showing your LLC’s principal office address, your Registered Agent and their address. Review the information, then click “Continue to file annual report“.

4. Members and Managers’ Information
Update the information of your Kentucky LLC’s members or managers by changing their titles, names or addresses in the corresponding drop down menus as needed. Then click “Continue to signatures“.
5. Signature
Enter your name, title (ex: “Member”) and email. Then click “Confirm this filing“.
6. Review
Review the information in your Kentucky LLC’s Annual Report, make edits as needed, then click “Pay for and complete filing“.
7. Payment Method
Click “Pay using Credit Card or EFT“, choose your payment method on the next page and enter your billing information, then click the “Next” button. Click the “Submit filing” button to submit your Annual Report and filing fee.
Processing Time and Verification:
Once your Annual Report is processed, you’ll receive back an email with a receipt. You’ll then have to go online to download a copy of the filed Annual Report.
To download a copy of your filed Annual Report, search your LLC name here, click on your LLC name, scroll down to “Images available online”, click “Annual Report”, then download/save a copy to your computer.
